TERMS AND CONDITIONS OF SALE

 

1.      Introduction and Acceptance of Terms

1.1.   These Terms and Conditions of Sale (“Terms”) govern all purchases of goods and services made through the TF Renovations online portal (the “Website”), operated by 11141830 Canada Inc., carrying on business as TF Renovations (“Company”).

1.2.  By accessing the Website, placing an order, or purchasing any Product, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1.3.  If you do not accept these Terms, you are not authorized to use the Website or complete any purchase.

1.4.  These Terms, together with the Privacy Policy, Return Policy, Shipping & Delivery Policy, and any Order Confirmation, constitute the entire agreement between you and the Company.

2.      Defined Terms

2.1.  “Website” refers to the TF Renovations online portal accessible at www.tfrenovations.ca.

2.2.  “Company” refers to 11141830 Canada Inc., operating as TF Renovations.

2.3.  “Customer” refers to any individual or entity purchasing Products through the Website.

2.4.  “Product(s)” means any merchandise, materials, tools, décor items, or renovation-related services available for purchase.

2.5.  “Order Confirmation” means the electronic confirmation issued after an order is placed.

2.6.  “Privacy Policy” refers to the Company’s policy on data collection and use.

2.7.  “Carrier” refers to any third-party logistics or delivery provider used for shipment.

3.      Eligibility to Purchase

3.1.  Customers must:

3.1.1.      be at least 18 years of age;

3.1.2.      have legal capacity to enter into binding agreements; and

3.1.3.      reside in Canada with a valid delivery address.

3.2.  The Company may refuse or cancel any order where eligibility requirements are not met or where fraud is suspected.

4.      Product Information, Accuracy, and Availability

4.1.  The Company makes reasonable efforts to ensure the accuracy of all Product descriptions, images, pricing, and specifications; however, errors, omissions, or inaccuracies may occur.

4.2.  Colours, textures, veining, patterns, or finishes shown online may vary due to natural variations or screen display settings.

4.3.  Products may be discontinued, backordered, or unavailable without notice.

4.4.  The Company reserves the right to limit quantities, restrict sales, or refuse orders at its discretion.

4.5.  Customers are responsible for confirming all measurements, specifications, installation requirements, and suitability before ordering.

5.      Placing Orders and Acceptance

5.1.  Orders must be submitted through the Website using accurate customer and payment information.

5.2.   An Order Confirmation acknowledges receipt of your order but does not constitute acceptance.

5.3.  Acceptance occurs only when the Company sends a dispatch confirmation or ships the order.

5.4.  The Company may cancel or refuse an order due to:

5.4.1.      pricing errors;

5.4.2.      inventory shortages;

5.4.3.      fraud screening failures;

5.4.4.      payment authorization problems;

5.4.5.      suspected misuse or resale activities.

5.5.  If an order is cancelled by the Company, any payment received will be refunded.

 

 

6.      Pricing, Taxes, and Payment

6.1.  All prices are in Canadian Dollars (CAD) and may change without notice.

6.2.  Applicable provincial and federal taxes (HST, GST) will be calculated at checkout.

6.3.  Payment must be completed using approved payment methods.

6.4.  The Company is not responsible for bank charges or currency conversion fees.

6.5.  In the event of a pricing error, the Company may cancel the order and invite the Customer to reorder at the corrected price.

7.      Delivery, Shipping, and Pick-Up Terms

7.1.  Products are shipped using third-party carriers. Delivery methods may include standard shipping, oversized freight, or curbside pallet delivery.

7.2.  Delivery dates are estimates only; delays may occur. The Company is not liable for delivery delays beyond its reasonable control.

7.3.  Transfer of Risk: Risk of loss transfers to the Customer upon delivery to the address provided.

7.4.  Palletized or Heavy Deliveries:

7.4.1.      Deliveries may be made curbside only; drivers will not bring Products inside.

7.4.2.      Customers must ensure safe access for large trucks.

7.4.3.      Customers are responsible for moving goods from curbside to their desired location.

7.5.  Pickup Orders:

7.5.1.      Customers must present valid ID and proof of purchase.

7.5.2.      Orders not collected within 7 days may be cancelled or subject to storage fees.

7.6.  If delivery fails due to incorrect address or Customer unavailability, redelivery fees may apply.

8.      Returns, Refunds, and Order Cancellations

8.1.  Returns, exchanges, and refunds are governed by the Return Policy, which forms part of these Terms.

8.2.  Certain Products—such as cut materials, opened tile boxes, installed flooring, custom orders, adhesives, and clearance items—are non-returnable.

8.3.  Refunds will be issued after inspection, subject to restocking fees where applicable.

8.4.  Orders may be cancelled within 24 hours unless already dispatched. After shipment, the Return Policy applies.

9.      Warranties

9.1.  Some Products include a manufacturer’s warranty; warranty terms vary by supplier.

9.2.  Warranty claims must be submitted directly to the manufacturer unless otherwise indicated.

9.3.  The Company provides no warranty beyond what manufacturers offer.

9.4.  Damages caused by improper installation, misuse, insufficient maintenance, or non-compliance with instructions are not covered.

9.5.  Customers are responsible for verifying all installation conditions (moisture levels, subfloor suitability, tools, adhesives, etc.).

10.  Installation Services and Disclaimer

10.1.                    TF Renovations offers installation services as a separate, optional service. Installation services are governed by a separate Installation Agreement, work order, or service contract provided at the time of booking. The purchase of Products does not include installation unless expressly stated in writing.

10.2.                    Where installation services are performed by TF Renovations or its approved subcontractors, the Company will carry out such services in a professional and reasonable manner. However, the Company does not guarantee outcomes that depend on pre-existing site conditions, structural issues, or customer-provided measurements.

10.3.                    Customers are responsible for ensuring:

10.3.1.  accurate room measurements, quantities, and material suitability;

10.3.2.  proper site preparation, including removal of old flooring or tiles unless included in the service contract;

10.3.3.  adequate access to the installation area;

10.3.4.  disclosure of subfloor, moisture, plumbing, electrical, or structural issues prior to installation.

10.4.                    TF Renovations shall not be liable for installation delays caused by:

10.4.1.  site inaccessibility;

10.4.2.  undisclosed structural or subfloor issues;

10.4.3.  customer unavailability;

10.4.4.  third-party contractors present on the job site;

10.4.5.  products not purchased from TF Renovations.

10.5.                    If the Customer hires a third-party installer not affiliated with TF Renovations:

10.5.1.  the Company is not responsible for damages arising from improper installation;

10.5.2.  any installation-related warranty claims must be directed to the installer;

10.5.3.  Products cannot be returned once installed, regardless of who performed the installation.

10.6.                    Customers must inspect all Products before installation begins. Once a Product is installed, it is deemed accepted, and no return or refund will be issued based on appearance, colour variation, shade differences, pattern placement, or manufacturing variations.

10.7.                    TF Renovations is not responsible for:

10.7.1.  damages arising from improper storage, handling, or installation by third parties;

10.7.2.  failure to follow manufacturer installation instructions;

10.7.3.  damages caused by moisture, uneven subfloors, or environmental conditions beyond the Company’s control;

10.7.4.  repairs or replacements related to improper customer measurements unless TF Renovations performed the measurements.

11.  Limitation of Liability

11.1.                    To the fullest extent permitted by law, the Company is not liable for:

11.1.1.  indirect, incidental, or consequential damages;

11.1.2.  project delays or labour costs;

11.1.3.  lost profits or business interruption;

11.1.4.  installation errors;

11.1.5.  damage arising from freight carriers or third-party contractors.

11.2.                    The Company’s total liability is capped at the purchase price of the Product in dispute.

12.  Indemnification

12.1.                    Customers agree to indemnify and hold the Company harmless against claims, losses, or damages resulting from:

12.1.1.  misuse of Products;

12.1.2.  breach of these Terms;

12.1.3.  negligent installation or handling;

12.1.4.  misrepresentation of information provided to the Company.

13.  Intellectual Property

13.1.                    All content, images, trademarks, and materials on the Website are owned by or licensed to the Company.

13.2.                    Unauthorized copying, reproduction, or distribution is prohibited.

14.  Privacy and Data Protection

14.1.                    The Company collects and processes personal information in accordance with PIPEDA and its Privacy Policy.

14.2.                    Customers may request access, correction, or deletion of their personal information.

14.3.                    The Company may use third-party processors for payment, shipping, and security screening.

15.  Electronic Communications Consent

15.1.                    By using the Website, Customers consent to receive communications electronically, including Order Confirmations, updates, notices, and disclosures.

16.  Force Majeure

16.1.                    The Company is not liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, supply chain disruptions, cyber-attacks, labour disputes, or government restrictions.

 

 

17.  Severability

17.1.                    If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force.

18.  Amendments

18.1.                    The Company may revise these Terms at any time without prior notice. Changes take effect immediately upon posting.

19.  Governing Law and Dispute Resolution

19.1.                    These Terms are governed by the laws of Ontario and applicable federal laws.

19.2.                    Disputes shall be resolved exclusively in the courts of Ontario, unless both parties agree to arbitration under the ADR Institute of Canada.

21.  Acceptance of Terms

By placing an order on the TF Renovations Website, you acknowledge that you have read, understood, and accepted these Terms and Conditions of Sale.
